Every year a UK company has to file a Confirmation Statement with Companies House. The form is called the CS01. This form is several pages long and asks you to provide the current structure of the company on the date the form is due. Typically you need to confirm the following information-

  • Company name and number
  • Type of company
  • Date the Annual
  • Return is ‘made up to’
  • Registered office address
  • Location of company registers
  • Company Directors
  • Company Secretary
  • Share holders
  • Value and Number of Shares Issued
  • The rights attached to the shares
  • SIC Code describing the principal business activities

The form can be processed manually by post at Companies House or online using the web filing service. We would recommend that where possible a Confirmation Statement is submitted online. This ensures the document is submitted correctly and also provides a quick confirmation that the form has been accepted or rejected. Postal applications often experience delays and lead to incorrect completed forms.

Our Confirmation Statement submission service will ensure your form is submitted correctly and quickly. Once we have your web filing code and confirmed your company details one of our compliance team will submit the form online and monitor the acceptance by Companies House.

Failure to submit your Confirmation Statement could lead to your company being dissolved and ‘struck off’ the register.

All UK companies are required by law to file a set of accounts every year. Even when a company is dormant the directors are still responsible for submitting a set of dormant non trading accounts. Failure to file a set of accounts online can lead to large penalties that can grow to thousands of pounds and ultimately dissolution of the company. Company Directors may also be prosecuted for failing to file company documents.

Your first accounts usually cover more than 12 months. This is because they:

  • start on the day your company was set up (‘incorporated’)
  • end on the ‘accounting reference date’ that Companies House sets for the end of your company’s financial year – this is the last day of the month your company was set up
